These Terms & Conditions (“Terms”) govern your access to and use of the OzPOS services and products (“we”, “us”, “our”, or “OzPOS”). By purchasing hardware, subscribing to our software, or using any of our services, you agree to be bound by these Terms.
1. Definitions
- Customer / You / Your: Any individual or entity who purchases, uses, or interacts with OzPOS’s hardware, software, or services.
- Hardware Products: Physical devices such as POS terminals, printers, cash drawers, customer displays, etc., sold by OzPOS.
- Software / SaaS / Subscription Services: OzPOS’s software platform, apps (user app, driver app, partner app, backend website etc.), hosted solutions for POS, online ordering, order management, etc.
- Order: A purchase request made by you for hardware or subscription for software or services.
2. Acceptance of Terms
By placing an order or using any of our services (hardware or software), you acknowledge that you have read, understood, and agree to these Terms and any related policies (Refund and Returns Policy, Privacy Policy, etc.). If you do not agree, do not use or purchase from OzPOS.
3. Orders & Pricing
- All orders are subject to acceptance by OzPOS. We reserve the right to refuse or cancel any order at our discretion (for example, in cases of error, fraud, or unavailability of stock).
- Prices for hardware, software subscriptions, add-ons, or integrations are as listed on our website or as agreed in written quotation. Prices are subject to change without notice, but changes will not affect orders already accepted.
- Any hardware product bundle offers (“sale price”, “offer”) have start and end periods — after which, products revert to standard pricing.
4. Payment
- You must pay all fees due for hardware and/or software/subscription services, in the currency specified.
- For hardware, full or partial upfront payment may be required before dispatch or installation.
- For software/SaaS, payment is generally recurring (monthly / annually), depending on the plan chosen.
- Non-payment or failed payment may result in suspension or termination of access to software services.
5. Delivery & Shipping (Hardware)
- Hardware products will be shipped to the address you provide or made available for collection, as specified in your order.
- Estimated delivery times are provided, but actual delivery may vary due to stock availability or logistical issues. OzPOS is not liable for delays caused by carriers, suppliers, or events beyond our control.
- For orders with “free delivery and installation” (metro Sydney, etc.), the free service applies only in the geographic area specified. Outside that area, standard shipping/installation charges may apply.
6. Pre-Orders
- Pre-order hardware items are items not yet in stock or arriving from suppliers.
- We aim to dispatch pre-orders generally within 2 weeks, but stock availability or supplier delays may prolong the dispatch time.
- You will be informed of any significant delays.
7. Software / Subscriptions Use
- Your subscription grants you a non-exclusive, non-transferable right to access and use the OzPOS software according to the plan and licensing terms.
- You are responsible for maintaining the confidentiality of any login credentials.
- OzPOS provides the software “as is”, without warranties of uninterrupted service, merchantability, or fitness for a particular purpose.
- We strive for reasonable uptime and support but cannot guarantee zero downtime.
8. Support & Maintenance
- We provide support during business hours, and may offer after-hours support depending on plan.
- Bug fixes, updates, and improvements to software are included in the subscription as per plan; features requested may be considered but are not guaranteed.
9. Returns, Refunds & Cancellations
- Refer to our Refund & Returns Policy for hardware returns and refunds. (E.g., regular priced items refundable within 30 days; sale items non-refundable; software subscriptions non-refundable etc.)
- If a subscription is cancelled, access will cease at the end of the prepaid period; no refunds for unused portion except where required by law.
10. Intellectual Property
- All intellectual property rights in the software, hardware design, documentation, trademarks, logos, and brand assets remain the property of OzPOS or its licensors.
- You may not copy, modify, distribute or create derivative works without our explicit written permission.
11. Liability & Indemnification
- To the extent permitted by applicable law, OzPOS is not liable for any indirect, incidental, special, or consequential damages arising from your use of hardware or software — this includes loss of profits, business interruption, loss of data, etc.
- Your total liability to OzPOS for any claim under these Terms will not exceed the amount paid by you for the relevant product or service.
- You agree to indemnify (defend and hold harmless) OzPOS, its affiliates and employees from and against any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising from your misuse of the products or violation of these Terms.
12. Termination
- We reserve the right to suspend or terminate your account, subscription, or access if you breach any of these Terms.
- On termination, all rights granted to you will cease, and any outstanding fees will become due immediately.
13. Changes to Terms
- OzPOS may revise these Terms from time to time.
- We will post the updated version on our website with the “Last Updated” date.
- Continued use of our services after changes implies acceptance of the updated Terms.
14. Governing Law & Dispute Resolution
- These Terms are governed by the laws of New South Wales, Australia (or whichever jurisdiction OzPOS operates under).
- Disputes arising under these Terms should first be attempted to be resolved informally by contacting OzPOS support. If unresolved, the dispute may be brought before the appropriate courts of NSW, Australia.
